End User License Agreement (EULA) for Empirical Forecasting

1. Agreement

By installing or using Empirical Forecasting (“the Software”), you agree to be bound by the terms of this End User License Agreement (“Agreement”). If you do not agree to these terms, do not install or use the Software.

2. License Grant

Subject to the terms of this Agreement, Empirical Forecasting grants you a limited, non-exclusive, non-transferable license to use the Software within your Atlassian Jira instance(s).

3. Scope of License

This license permits you to:

  • Install and use the Software within your Jira instance(s)
  • Use the Software for your internal business purposes
  • Use the Software in accordance with Atlassian Marketplace Terms of Use

4. Restrictions

You may not:

  • Modify, reverse engineer, decompile, or disassemble the Software
  • Create derivative works based on the Software
  • Remove or alter any proprietary notices in the Software
  • Transfer, sublicense, lease, lend, rent or otherwise distribute the Software to third parties
  • Use the Software in any way that violates applicable laws or regulations

5. Ownership

The Software is owned and copyrighted by Empirical Forecasting. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software.

6. Updates and Support

  • We may provide updates or modifications to the Software
  • Updates may be subject to additional terms
  • Technical support availability and terms are as specified in our Marketplace listing

7. Data Processing

  • The Software processes data within your Jira instance
  • No data is stored or persisted by the Software
  • Data processing occurs in compliance with our Privacy Policy

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EMPIRICAL FORECASTING DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

IN NO EVENT SHALL EMPIRICAL FORECASTING BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE.

10. Term and Termination

  • This Agreement is effective until terminated
  • Your rights under this Agreement will terminate automatically if you fail to comply with any term(s)
  • You may terminate this Agreement by uninstalling the Software
  • Upon termination, you must cease all use of the Software

11. Governing Law

This Agreement shall be governed by the laws of the United States of America and the State of California, without regard to its conflict of law principles.

12. Changes to this Agreement

We reserve the right to modify this Agreement at any time. Users will be notified of any changes through the Atlassian Marketplace or our website.
